General Terms and Conditions (GTC) of Kataloop GmbH for Fixed-Price Websites
§ 1 Preamble
Kataloop is a creative agency based in Berlin that conceives, designs, and builds high-quality websites with Webflow. These General Terms and Conditions govern the cooperation for the fixed-price packages “Essential Website,” “Business Website,” and “Premium Website” as well as individual offers above these packages (“Enterprise Website”).
Unlike the monthly-price plans, the fixed-price packages constitute a work performance with a clearly defined goal: the creation of a website within the agreed scope. These GTC govern the scope of services of the packages, the project workflow, and the obligations of Kataloop and the client.
The separate General Terms and Conditions for Monthly-Price Collaboration apply to the monthly-price plans. The Licensing Terms additionally apply to the purchase of stock media.
§ 2 Scope
(1) These GTC apply to all contracts for fixed-price websites between Kataloop GmbH (hereinafter “Kataloop”) and its clients (hereinafter “client”).
(2) Clients within the meaning of these GTC can only be entrepreneurs (§ 14 German Civil Code, BGB), legal entities under private law, or legal entities under public law. Use by minors is not permitted.
(3) Deviating terms of the client are not recognized unless Kataloop has expressly agreed to their validity in writing.
§ 3 Contracting party
The contracting party within the meaning of these GTC is:

§ 4 Subject matter and type of contract
(1) The subject matter of the contract is the design and Webflow development of a website within the scope of the package selected by the client (§ 5). The contract is structured as a contract for work (Werkvertrag, § 631 BGB): Kataloop owes the production of the agreed work within the defined scope of services.
(2) No specific economic success of the website is owed, in particular no specific visitor, reach, conversion, or search engine rankings. Such results depend on factors outside Kataloop’s sphere of influence.
(3) The success of the project requires the client’s active cooperation (§ 8). Delays based on a breach of the duties to cooperate are borne by the client.
(4) Kataloop is entitled to have services performed in whole or in part by third parties but remains responsible for the proper provision of services.
§ 5 Service packages
The specific scope of services results from the package selected by the client. A “page” within the meaning of these GTC is an independent, individually designed page with its own structure (e.g., home page, services, about us). Legal pages (imprint, privacy policy, and, where applicable, GTC) are pure text pages; they are developed, if desired, but not specifically designed, and do not count toward the page quota.
All packages include: legal pages (text pages), the Webflow CMS (§ 11), photos and videos from the Kataloop stock collection as well as Streamline icons and illustrations (§ 12), subtle motion design and AI components of low and medium complexity (§ 13), the SEO base structure (§ 13), a kickoff call (§ 16), and the choice between providing the texts or having them created (§ 10). Booked pages can be exchanged under § 5.5 for additional languages or one AI component of high complexity.
§ 5.1 Essential Website (€3,990 net)
Up to 3 individually designed pages plus legal pages.

§ 5.2 Business Website (€7,990 net)

30 stock licenses from the Kataloop collection (see § 12.1).

§ 5.3 Premium Website (€10,990 net)
Up to 9 individually designed pages plus legal pages.
24 revision rounds (pool, see § 9).
Implementation time: 4 weeks (see § 6), with priority handling.
Extended SEO structure for visibility in AI models and search engines, including structured data (see § 13).
45 stock licenses from the Kataloop collection as well as the stock photo guarantee (see § 12.1).
Additional languages via the page exchange under § 5.5.
Digital calls as needed, max. 1 per week (see § 16).
§ 5.4 Enterprise Website (from €11,000 net)
Projects that go beyond the scope of the Premium package are handled as an individual offer (“Enterprise Website”) starting at €11,000 (net). Typical reasons are, in particular: more than 9 pages, an individual number of revision rounds, complex motion design or complex animations, a comprehensive structure for visibility in AI models and search engines, copywriting, and additional services such as individual photography or graphics. The specific scope of services, the remuneration, and any deviating conditions result from the individual offer; these GTC apply additionally, unless otherwise agreed in the offer.
§ 5.5 Exchange options (all packages)
(1) Page for language: For each additional language, the client forgoes one booked page. This exchange is possible any number of times, as long as at least one page remains. Examples: Essential Website with 2 pages in 2 languages; Business Website with 4 pages in 3 languages. § 14 governs the details on languages.
(2) Two pages for an AI component: Two booked pages can be exchanged for one AI component of high complexity. Example: Business Website with 4 pages and one complex AI component. § 13 (4) governs the details on AI components.
(3) The client makes this choice during onboarding (§ 7). The quota of stock licenses under § 12.1 remains unaffected by the exchange. The ongoing hosting costs per additionally activated language under § 15 likewise remain unaffected. For pages, languages, or components beyond the package scope, § 5.4 (Enterprise Website) applies.
§ 5.6 Value added tax
All prices stated are net. For clients based in Germany, the applicable statutory VAT is added. For business clients based in other EU countries, invoicing is done without German VAT upon provision of a valid VAT ID; the tax liability transfers to the client under the reverse-charge mechanism. For clients from third countries outside the EU, the service is invoiced without German VAT; any taxation is governed by the law of the respective country.
§ 6 Implementation times
Kataloop implements the website within the implementation time stated per package after submission of the complete briefing in the Client Portal (§ 7). Only Kataloop’s own processing times are counted. Times during which Kataloop is waiting for the client’s acts of cooperation, such as texts, materials, feedback, or approvals, are not counted and extend the implementation time accordingly. These waiting times are recorded in the Client Portal. The Premium Website is implemented with priority handling.
§ 7 Project workflow (work performance)
The cooperation runs via the Kataloop Client Portal, Kataloop’s project management tool (accessible at https://project.kataloop.com/, hereinafter the “Client Portal”). The onboarding and the provision of the project links (Figma prototype and Webflow staging domain) take place via the Client Portal. In addition, each page is managed as its own ticket; the project-related communication takes place within these tickets, and the revision rounds are recorded there.
The workflow is divided into the following steps:
Payment receipt. The project begins upon receipt of payment (or the first installment, § 17).
Onboarding & briefing. The client is obliged to submit its briefing in the Client Portal. During onboarding, the client describes the desired pages, makes the choices under § 5.5 and § 10, and, where applicable, provides its texts (§ 10).
Design (desktop). Kataloop designs the web design in the design tool Figma, exclusively for the desktop view. Mobile views are not designed. A design elaboration of mobile views is available via an individual offer (Enterprise Website, § 5.4). Kataloop first designs an initial page; after the client’s feedback on this page, the remaining pages are designed. The client receives a link to the Figma prototype at the start of the design phase and can view the design status on an ongoing basis.
Design revision rounds. The client provides feedback on a per-page basis via the respective tickets in the Client Portal, within its revision-round pool (§ 9).
Development. After approval of the design, Kataloop develops the website visually in Webflow. The client receives a link to a Webflow staging domain (webflow.io) at the start of the development phase and can view the development status on an ongoing basis.
Responsive views & testing. Finally, Kataloop creates the breakpoints (desktop, tablet, mobile landscape, mobile portrait). The client tests the website and can make final corrections within its revision-round pool before granting final acceptance (§ 9, § 20).
The Figma and staging links serve exclusively for ongoing viewing. Decisive for the running of the deadline under § 9 is solely the marking “Design completed” or “Development completed” in the respective ticket of the Client Portal, of which the client is additionally informed automatically by email.
§ 8 Client’s duties to cooperate
(1) The success of the project largely depends on the client’s active cooperation. In particular, the client undertakes to:
provide the briefing and, if the client has chosen this option, the texts (§ 10) in the Client Portal in good time and in full;
provide all materials, access credentials, and information required for implementation in good time;
respond to marked design or development statuses within the deadlines under § 9;
adequately test the website before final acceptance (in particular all functions, buttons, forms, and breakpoints) and expressly grant acceptance (§ 20).
(2) All project-related communication takes place via the Client Portal. Channels beyond the Client Portal (e.g., calls under § 16) do not replace the documentation there.
(3) If the client fails to meet its duties to cooperate despite a request and the setting of a reasonable deadline, § 9 (deemed acceptance) and § 18 (standstill) apply accordingly.
§ 9 Revision rounds, response deadlines, and deemed acceptance
§ 9.1 Revision-round pool
(1) A pool of revision rounds is available per package: 6 (Essential), 12 (Business), or 24 (Premium). The pool applies jointly to the design and development phases and can be freely distributed across the pages.
(2) A revision round always relates to exactly one page. Feedback can only be given on a per-page basis; combined feedback on several pages counts as several revision rounds accordingly (e.g., feedback on the home page and the about-us page = two revision rounds). The revision rounds are recorded per page in the Client Portal.
(3) The remaining balance is displayed via a counter in the Client Portal. Each revision round beyond the pool costs €220 (net) and is charged separately.
§ 9.2 Response deadlines and deemed acceptance
(1) As soon as Kataloop completes the design or development of a page, Kataloop marks this in the respective ticket of the Client Portal; the client is additionally informed automatically by email. The remaining response time is displayed in the ticket.
(2) From this marking, the client has 14 days (for the Premium Website: 21 days) to respond to the marked status, i.e., either to trigger a revision round within its pool or to approve the status.
(3) If the client does not respond within this deadline and does not name a specific defect, the marked design or development status of the relevant page shall be deemed accepted (deemed acceptance). The client is expressly informed of this consequence in the email under paragraph 1. The deadline runs per page per ticket.
(4) The deemed acceptance serves solely to avoid a project standstill. After deemed acceptance occurs, Kataloop is entitled to continue and complete the project.
§ 10 Texts and content
(1) For all packages, an onboarding takes place in the Client Portal, in which the client describes the pages. In doing so, the client chooses one of two options per project:
Provide texts: The client submits its final texts per page and section in the briefing. Upon request, Kataloop proposes a structure or division of the texts.
Have texts created: In the briefing, the client answers questions about its company, its offering, and its goals (interview). Based on this, Kataloop creates AI-assisted text suggestions and derives the page structure. The client may additionally name an existing website as a reference or submit preliminary texts.
(2) Even with the option “Have texts created,” the client may provide final texts itself at any time. Changes to texts that have already been designed or developed are implemented within the revision-round pool (§ 9).
(3) Kataloop assumes no warranty for factual accuracy with regard to AI-assisted content and translations. The client is obliged to check all content for accuracy before publication.
(4) § 21 applies to legal content (imprint, privacy policy, GTC).
§ 11 Webflow CMS
(1) All packages include the Webflow CMS, through which the client can independently maintain recurring content (e.g., blog articles, testimonials, job postings, or team members) if desired.
(2) CMS areas: A CMS area corresponds to a Webflow collection, i.e., a recurring content type such as a blog, team, references, or FAQ, with up to 60 fields per entry (fields are the individual pieces of content of an entry, e.g., title, text, image, or date). The CMS template page used for a CMS area counts as a page within the meaning of § 5; the individual entries do not count as separate pages, even if they receive their own URL.
(3) Volume: Across all CMS areas, a total of up to 20,000 entries is included (limit of the Webflow hosting). A larger volume is possible but leads to higher hosting costs and is agreed with Kataloop in advance.
(4) Populating: Kataloop sets up the CMS areas and enters up to 10 entries per area. The client adds further entries via a CSV template prepared by Kataloop or independently via its Webflow access. Any entry by Kataloop beyond this is agreed separately.
§ 12 Images, videos, icons, and illustrations
§ 12.1 Stock media from the Kataloop collection
(1) Each package includes website usage licenses from the Kataloop stock collection (photos and videos), without an obligation of attribution and project-related for the specific website project:
Essential Website: 15 licenses
Business Website: 30 licenses
Premium Website: 45 licenses
The quota corresponds to 5 licenses per booked page and can be freely distributed across the pages by the client. An exchange under § 5.5 leaves the quota unaffected.
(2) The licenses cover website use in accordance with the Licensing Terms. If an “Unlimited” license is required for a redesign of a website with particularly high traffic, the aforementioned quantities are halved (8 / 15 / 23, rounded up).
(3) Lifetime discount: If the client requires additional licenses from the Kataloop collection beyond the quota, it receives a permanent 50% discount on these licenses. The discount applies from the first payment to Kataloop and without time limit.
(4) Stock photo guarantee (Premium only): If the Kataloop stock collection does not contain suitable motifs for the project, Kataloop expands the collection within 14 days of submission of the briefing by 50 motifs related to the client’s industry, typically abstract studio shots. The new motifs become part of the stock collection and are available to the client within its quota under paragraph 1.
(5) Kataloop may use AI-generated images as placeholders. Costs for media from external image databases are agreed separately; alternatively, the client provides the desired image material itself.
§ 12.2 Icons, illustrations, and graphic elements
Per website project, up to 100 icons, up to 50 illustrations, and up to 50 graphic elements from the Streamline library are included. Any required web font license is included, provided it was proposed by Kataloop.
§ 13 Design, motion design, AI components, and SEO/AEO
(1) Motion design (all packages): At its design discretion, Kataloop implements subtle animations and reveal effects that support the design; GSAP as a native Webflow function may also be used for this. The client may name animation requests in the briefing; Kataloop takes them into account insofar as they can be implemented within the scope of subtle motion design. More extensive animations as well as complex motion design are covered via an individual offer (Enterprise Website, § 5.4).
(2) SEO base structure (all packages): Every website is built with a semantic HTML structure and clean CSS code that ensure machine readability for search engines and AI models. Included in particular are meta titles and meta descriptions per page, alt texts, favicon and webclip image, the indexing setup (sitemap.xml, robots.txt, canonical tag, allow/deny indexing) including connection to Google Search Console, and hreflang for multilingual websites.
(3) Extended SEO structure (Business and Premium): In addition to the base structure, the following are included: Open Graph preview images for shared links, correct lazy vs. eager loading of images, an llms.txt for AI crawlers, and up to 6 types of structured data according to Schema.org (e.g., Organization/LocalBusiness, BreadcrumbList, FAQPage, Service, Article/BlogPosting, or Product), generated dynamically from the CMS if desired. A comprehensive structure beyond this is covered via an individual offer (Enterprise Website, § 5.4).
(4) AI components: All packages include AI components of low and medium complexity. Kataloop takes them into account in the strategy and design process insofar as they serve the goal of the website; the client communicates specific requirements in the briefing. An AI component of high complexity is available via the exchange of two pages (§ 5.5) or an individual offer (Enterprise Website, § 5.4). Complexity is classified based on the examples shown on Kataloop’s services page. Web applications with a login area are not part of the fixed-price packages.
(5) Kataloop owes no specific search engine rankings (§ 4 (2)).
§ 14 Languages
(1) The packages comprise the website in one language. In all packages, the client receives each additional language under § 5.5: for each additional language, one booked page is dropped, any number of times, as long as at least one page remains.
(2) Additional languages are only activated and inserted during the development step. Translations are AI-assisted/automated; an adaptation of the URLs into the respective language version is not provided. § 10 (3) applies to the accuracy of AI-assisted translations. If the client wishes to provide final translations itself, this is possible at any time (a subsequent change may consume a revision round).
(3) The ongoing costs per additionally activated language result from § 15.
§ 15 Hosting and domains
§ 15.1 Hosting
(1) Hosting takes place via Webflow within Kataloop’s workspace. A choice between different hosting variants by the client is not provided; hosting starts at the standard tier and is automatically upgraded if necessary.
(2) Essential Website: €40/month for bandwidth usage of up to 10 GB. If this is exceeded, an upgrade to €80/month for up to 100 GB takes place.
(3) Business and Premium Website: €80/month for bandwidth usage of up to 100 GB, plus €50/month per additionally activated language.
(4) All hosting prices are net. The hosting fee begins with the go-live of the website.
(5) Notification of exceedance: Kataloop is informed by Webflow by email and dashboard notice as soon as the bandwidth is exceeded. In the first month of exceedance, no additional fee is yet incurred at Webflow; only upon exceedance in a second consecutive month does an automatic upgrade take place. Kataloop undertakes to inform the client within 7 days of receiving the Webflow notice, and thus in good time before an automatic upgrade, about the upcoming increase.
(6) Bandwidth over 100 GB: If bandwidth usage permanently exceeds 100 GB, the client takes over the project itself (transfer to its own Webflow account, see § 15.3).
§ 15.2 Export option
As long as neither a CMS area nor an additional language is activated on the website, Kataloop can export the Webflow code and provide it to the client as a ZIP file for use on the client’s own hosting. In this case, Kataloop does not handle any DNS settings. Alternatively, the client can continue to host the website via Kataloop (§ 15.1) or request the transfer within Webflow (§ 15.3). As soon as the CMS or additional languages are used, an export is not technically possible.
§ 15.3 Project transfer and ownership
(1) Until full payment of the project amount, the project remains the property of Kataloop. Only after full payment is a transfer possible.
(2) The client can request the free-of-charge transfer of the project to its own Webflow account; the transfer takes place exclusively at the client’s request. Upon transfer, the Webflow site plan then in effect, including the remaining paid term, transfers to the client. From the transfer onward, the client continues hosting directly via its Webflow account under the conditions applicable there.
§ 15.4 Domains and go-live
Domains are procured, held, and managed exclusively by the client. If the client wishes Kataloop to handle the go-live, it provides Kataloop with the necessary access.
§ 16 Digital calls
(1) Essential Website: A kickoff call at the start of the project is included. Further calls are not included.
(2) Business and Premium Website: Included are a kickoff call and further calls as needed, but no more than one call per week, insofar as they serve the planning and coordination of the implementation of the commissioned project, for example regarding the briefing, page structure, design and development statuses, or approvals.
(3) Not covered by the calls are training and introductions (for example to Webflow or to editing the website), general consulting outside the commissioned project, and support after acceptance. Such services are agreed separately.
(4) The calls last up to 60 minutes each, unused weeks are not carried over, and they take place as a Google Meet video call or, depending on preference, as a phone call (mobile or landline number). If the client cancels an appointment, the parties promptly agree on a replacement appointment. § 8 (2) applies to the documentation of agreements.
§ 17 Remuneration and payment
(1) The remuneration is based on the selected package (§ 5) and is generally to be paid in full in advance (100%). Payment is made via the Stripe checkout, e.g., by PayPal or credit card. Further payment methods may be offered.
(2) Payment by advance invoice is also possible; in this case, Kataloop awaits receipt of payment before the project starts. The client can request an offer via the website; the bank details are included in the offer PDF.
(3) Optional 50/50 payment: At the client’s express request (by email or contact form), a two-part payment can be individually agreed: 50% upon order and 50% after completion of the design. This variant cannot be booked automatically via the online buttons and requires prior agreement.
(4) Additional costs are charged separately, e.g., for additional revision rounds (§ 9), hosting of additional languages (§ 15), removal of the footer credit (§ 19), or external licenses (§ 12).
§ 18 Cancellation, withdrawal, and standstill
(1) Cancellation schedule: If the client cancels the project, at least 50% of the project amount is non-refundable in the event of cancellation, as capacities have been reserved and work has begun. From approval of the design, the entire project amount (100%) is non-refundable. Additional services already rendered or commissioned beyond the flat-rate package remain subject to remuneration in any case.
(2) Standstill due to lack of cooperation: If the client fails to perform necessary acts of cooperation (in particular briefing/texts) despite a request and a reasonable deadline, Kataloop may treat the service in accordance with §§ 642, 643 BGB (compensation or termination after the fruitless expiry of the deadline). Within the ongoing project workflow, the deemed acceptance under § 9 otherwise applies, so that the project can be continued and completed without permanently coming to a standstill.
(3) Reactivation fee: If a project that previously came to a standstill due to lack of cooperation, or was paused at the client’s request, is resumed, a uniform reactivation fee of €290 (net) applies.
§ 19 Rights of use, portfolio, and footer credit
(1) Rights of use: Kataloop grants the client the simple, worldwide, and unlimited-in-time rights of use to the implementations created within the project. The web design is created in its entirety exclusively for the client. Individual components, in particular AI components, functions, code modules, and design elements, are not exclusive; Kataloop may use them in the same or modified form in other projects as well. The granting of the rights of use is subject to full payment (§ 15.3). The Licensing Terms additionally apply to stock media.
(2) Portfolio and reference use: Kataloop and Lydia Dietsch are entitled to use the services rendered within the cooperation as well as depictions of the completed website (in particular screenshots and screen recordings) for reference and self-promotional purposes, for example in their own portfolio, on Kataloop’s website, on social media, in presentations, and in other promotional materials. This includes naming the client and using its logo. For this purpose, the client grants Kataloop a simple right of use, unlimited in territory and time.
(3) Client’s warranty: The client warrants that it holds all rights to the content used on the website that are required for the reference use under paragraph 2, in particular to photos, videos, graphics, fonts, and other media, and that no third-party rights conflict with the reference use, in particular no copyrights, trademark rights, or personality rights (such as the right to one’s own image of depicted persons). This warranty does not apply to content that Kataloop itself has created, provided, or licensed.
(4) Indemnification: If third-party claims are asserted against Kataloop due to the reference use under paragraph 2, the client indemnifies Kataloop against these claims and the reasonable costs of legal defense, insofar as the claims are based on a breach of the warranty under paragraph 3 and the client is responsible for the underlying infringement.
(5) Footer credit: By default, a discreet reference to design and implementation by Kataloop GmbH with an unobtrusive link is placed in the footer of the website. Upon request, this reference can be removed for a one-time fee of €290 (net).
(6) Waiver of portfolio use: At the client’s request, Kataloop waives the use of the project for reference and portfolio purposes under paragraph 2 for a one-time fee of €990 (net). If the client demonstrates a legitimate confidentiality interest, the reference use is omitted in whole or in part at the client’s request without a fee.
§ 20 Acceptance
(1) The client is obliged to adequately test the completed website before acceptance, in particular all functions, buttons, forms, and all breakpoints, and to then expressly grant acceptance.
(2) If the client does not provide feedback naming a specific defect within the deadline under § 9.2, the respective page or status shall be deemed accepted.
(3) After acceptance, Kataloop takes the website live (§ 15.4), provided this is desired and the necessary access is available.
§ 21 Legal pages, cookie banner, and AI content
(1) No legal advice: Kataloop does not provide legal advice. The content for the imprint, privacy policy, and, where applicable, GTC is provided exclusively by the client; Kataloop cannot provide content for this. Kataloop does not create AI-assisted text suggestions for these legal pages.
(2) Duty to review: The client is obliged to always check all content for accuracy, including any AI-assisted translations of legal content. Kataloop assumes no liability for the factual accuracy of content provided by the client or generated with AI assistance.
(3) Cookie banner: The client itself handles the management of a cookie banner; it transmits the required script to Kataloop. Alternatively, a cookie banner is dispensed with. If non-essential scripts are desired, these are to be provided by the client.
§ 22 Warranty and remedy of defects
(1) Kataloop warrants that the accepted work corresponds to the agreed scope of services at the time of acceptance. Kataloop remedies any defects existing at that time (e.g., non-functioning buttons, faulty links, or display errors on a breakpoint) as part of the subsequent performance.
(2) The period for the remedy of defects is 6 months from acceptance. It covers exclusively the remedy of genuine defects already existing at the time of acceptance. It does not give rise to any entitlement to subsequent change or design requests; such requests made after approval are to be handled via a separate, chargeable offer.
(3) Excluded from the warranty are, in particular, defects based on the client’s own changes, on content or materials of the client, on third-party software, or on updates to the Webflow platform.
(4) The client is required, within its testing and response obligations (§ 8, § 20), to report defects already during the implementation time.
§ 23 Liability
(1) Kataloop is liable without limitation in cases of intent and gross negligence, as well as for injury to life, body, or health.
(2) In the event of a slightly negligent breach of essential contractual obligations (cardinal obligations), liability is limited to the foreseeable damage typical of the contract. Cardinal obligations are those obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose compliance the client may regularly rely.
(3) Otherwise, liability is excluded. Liability under the Product Liability Act remains unaffected.
(4) § 21 additionally applies to content provided by the client or generated with AI assistance, as well as to legal content.
§ 24 Confidentiality and data protection
Kataloop treats all information received within the contractual relationship confidentially and uses it only for the performance of the contract. Personal data is processed within the scope of contract performance; further details are governed by the Privacy Policy. Disclosure to third parties only takes place insofar as this is necessary for the performance of the contract.
§ 25 Final provisions
(1) Should a provision of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
(2) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(3) The place of jurisdiction for all disputes arising from this contractual relationship is Berlin.
